1. Services

Versa Digital Systems provides marketing and advertising services online. Use of these services implies agreement to these terms.

2. Advertising Materials

You authorize us to use materials you provide for advertising purposes and to create content on your behalf. Content is considered approved within one week of delivery unless you request changes.

3. Prohibited Practices

We do not support unlawful, offensive, or unethical content. Violating this policy may result in immediate termination of service.

4. Fees

All fees are stated in your contract. Late payments may result in account suspension or collections. A 3% fee applies to credit card payments.

5. Payments

Invoices are issued mid-month and due by month-end. Service may be paused for late payment.

6. Term

Contracts auto-renew monthly after the initial term. Either party may cancel with 30 days written notice.

7. Content Responsibility

You confirm you own or have rights to all content submitted for advertising and that it does not violate any laws.

8. Indemnification

You agree to indemnify Versa Digital Systems for claims related to content you provide, even after contract termination.

9. No Guarantees

We do not guarantee performance or placement results on any platform.

10. Warranties Disclaimer

We disclaim all warranties not expressly stated, including merchantability or fitness for a specific purpose.

11. Liability Limitations

Our liability is limited to the total amount paid to us. We are not liable for third-party platforms or outages.

12. Force Majeure

We are not liable for service disruption due to causes beyond our control such as natural disasters or internet failure.

13. Assignment

Versa Digital Systems may assign or subcontract services as needed.

14. Entire Agreement

These terms constitute the full agreement between you and Versa Digital Systems.

15. Authorization

The signer of the contract confirms legal authority to bind their organization to this agreement.

16. Effective Date

These terms take effect upon contract signature or payment submission.
